The compliance calendar every Bangladeshi private limited company needs
Annual returns, board meetings, tax filings and licence renewals β the recurring obligations that quietly fall overdue.
Why this matters
Company compliance failures are rarely dramatic. Nobody decides to skip the annual return. It simply does not get done, and then it is eighteen months later and RJSC records show directors who resigned two years ago.
Then you need a bank loan, or an investor runs diligence, and it all surfaces at once.
The recurring obligations
Monthly
- VAT return (Mushak 9.1) β by the 15th
- Salary TDS challan deposit β by the deadline for the month of deduction
- Withholding tax challans for other payments
Quarterly
- Advance income tax instalments, where applicable
- Withholding return under section 177
Annually
- Annual General Meeting β within 9 months of financial year end for the first AGM, 15 months thereafter
- Annual return to RJSC (Schedule X) β within 21 days of the AGM
- Audited financial statements filed with RJSC
- Company income tax return
- Employer's return under section 108
- Trade licence renewal
- Fire licence, environmental clearance and other sector permits
Event-driven
- Form XII within 14 days of any change in directorship
- Form 117 for share transfers
- Special resolutions filed within 15 days
The two that catch people out
Form XII. Every director change requires a filing within 14 days. Companies routinely change directors and remember the RJSC filing months later, by which point the register is inconsistent with reality.
The AGM itself. Holding the meeting is a statutory requirement, not a formality β and the annual return deadline runs from the AGM date, so a late AGM cascades into a late return.
Setting up a system
Put every date above in a shared calendar with a reminder two weeks ahead, and assign a named person to each. "The accountant handles it" is how these things get missed.
